I founded Virtus Diligence alongside my business partners to solve a problem of our own - the significant shortcomings of traditional Quality of Earnings (QofE) providers. Through our holding company, Virtus Financial Partners, Inc., we acquire software businesses. Far too often, we found ourselves correcting external diligence reports and uncovering critical operational and financial issues that had been overlooked by our (rather expensive) consultants. After several iterations of this, we lost trust in external QofE providers and brought these services in house. There was a gap in the market for a provider proficient not only in accounting, but also deeply knowledgeable about the operational intricacies of businesses. We wanted a provider that underwrote like they had skin in the game.

To maintain objectivity after bringing these services in house, we split our internal QofE team into a separate business unit and at the request of one of our lenders, offered services to external clients. We didn’t originally expect for Virtus Diligence to be such a substantial business unit, but these early engagements led to repeated referrals, rapidly repositioning Virtus Diligence from our internal, vertically integrated resource to a key provider of transaction diligence services across diverse industries.

Perhaps most importantly, we wanted to address a major issue in the financial diligence space, dead deal fees. I believe that genuine partnership requires shared risk and aligned incentives, as such, Virtus Diligence waives fees for transactions that do not close. This approach empowers our clients to confidently pursue future opportunities without unnecessary financial burdens.

In client engagements, I personally serve as the engagement manager, ensuring Virtus Diligence’s team consistently delivers exceptional, insightful, and seamless diligence services precisely tailored to client needs.
